Distance Sales Agreement
This agreement governs online sales terms for QR Menu, Online Reservations, dashboard management, plan subscriptions, trials, payments, renewals, plan changes, cancellations, refunds and related digital services provided through Pratix.
1. Parties and Seller Details
The buyer is the natural or legal person who registers, starts a trial, purchases a plan or renews a subscription through the Pratix dashboard.
2. Buyer Information
The buyer is the natural or legal person who registers, starts a trial, purchases a plan, renews a subscription or uses Pratix digital services through the website, dashboard or payment screen. The buyer’s name/business name, email, phone, business name, billing information and payment details may be collected through the relevant registration, dashboard or payment screen.
3. Subject of the Agreement
This agreement covers the sale and use of QR Menu, Online Reservations, the central dashboard, user management, business management, plans and subscriptions, payments and renewals, and other digital business applications that may be offered under the Pratix brand over time.
4. Nature of the Service
- Pratix products are digital software services with no physical delivery.
- QR Menu helps businesses manage categories, products, locations, languages, themes, allergens, tags, QR codes and publishing.
- Online Reservations supports dates, times, guests, customer profiles, booking statuses, SMS and reporting.
- The dashboard is a central management area for customers, businesses, users, subscriptions, plans, payments and permissions.
- AI-powered features may provide assistance such as description suggestions, content enhancement or image enhancement, subject to plan coverage and quotas.
- Free tools, demo screens or test access may be provided separately outside paid subscriptions.
5. Plans, Limits and Scope of Use
Pratix products may be offered in different plans. Depending on the product, coverage may vary by number of locations or users, product or reservation limits, languages, theme customization, QR generation, tracked links, reporting, AI allowances and SMS or email notifications.
The purchased plan’s coverage is determined by current information shown at checkout, on the plan page or in the dashboard. Features may be updated for service development, technical requirements or business needs; existing customers’ acquired rights for their current term are protected to a reasonable extent.
6. Trial Period
A 14-day free trial may be offered for eligible products. During the trial, customers may test the product, enter business details, create content and explore dashboard features. If no paid subscription is started when the trial ends, application access may be restricted, placed in a pending-payment state or deactivated.
7. Duration, Price and Taxes
The purchased product, plan name, subscription type, period, price, tax, discount and total payment are shown separately at checkout. Subscriptions may be monthly, annual or for other periods determined by Pratix. Prices, campaigns and plan coverage may change over time.
Applicable taxes, service fees, third-party costs or promotional discounts may be shown separately at checkout. Where invoicing or e-archive processes are active, the billing details supplied by the customer are used.
8. Payment and Security
Payments may be collected through PayTR or a secure payment provider announced by Pratix. Credit card numbers, expiry dates and CVV details are not stored in Pratix systems, viewed manually or held in its database. Payment results are tracked through provider notifications and dashboard payment records.
A transaction may be declined, held or cancelled due to bank, card institution, payment provider, 3D Secure or security checks. In such cases, service activation depends on payment approval reaching the Pratix system.
9. Delivery and Activation
After payment approval or the start of a trial, the service is activated electronically through dashboard access and relevant public application URLs. There are no physical products, shipping or manual delivery. Setup, content entry, business details, theme selection, reservation settings, QR links and publishing are managed by the customer through the dashboard.
Full use of the service may require accurate business, content, image, product, reservation, contact and user information. Pratix is not responsible for delays, incorrect publishing or operational problems caused by incomplete or incorrect information entered by the customer.
10. Subscription Renewals and Plan Changes
When an active subscription is renewed, the new term may be added to its current effective end date. For expired subscriptions, the new term may start on payment approval or reactivation. Early renewal does not remove remaining usage time; it is added to the current term according to system configuration.
For upgrades, an additional payment request may be calculated using remaining time, current and new plan prices, and the usage period. Downgrades generally take effect at the end of the term; refunds, credits or mid-term changes are assessed separately by Pratix.
11. Right of Withdrawal, Cancellation and Refunds
Pratix services are digital SaaS services provided electronically. Where a service is activated at the customer’s request, dashboard access is provided, digital content is created or the service is actually used, withdrawal and refund requests are assessed in light of the service’s nature, usage, payment date, plan coverage and applicable legislation.
Cancellation and refund requests do not automatically result in reimbursement. Requests are reviewed with regard to payment records, subscription term, time used, any third-party costs, promotional conditions and the customer’s reasons. Full or partial refunds may be issued where appropriate. Details are set out in the Cancellation and Refund Policy .
12. Customer Responsibilities
- Customers are responsible for the accuracy of business, product, price, image, category, reservation, customer, contact and legal text information entered in the dashboard.
- Customers must keep their assigned usernames, passwords and dashboard access secure.
- Unlawful, misleading, rights-infringing, spam or abusive content must not be added to the system.
- Interruptions or restrictions in third-party SMS, email, payments, domains, hosting, Cloudflare, AI or similar services may affect the service experience.
- Customers are responsible for complying with applicable legislation when processing their own customers’ personal data.
13. Pratix’s Rights and Obligations
Pratix works to provide reasonable service continuity, track payment and subscription records, provide dashboard access and resolve reported technical issues where possible. Pratix may impose temporary or permanent service restrictions for security, misuse, payment disputes, unlawful content, technical requirements or maintenance.
14. Service Continuity, Maintenance and Third Parties
Pratix works to provide reasonable service continuity. Temporary access restrictions may arise due to maintenance, updates, infrastructure faults, cyberattacks, internet outages, data center issues, payment provider outages, SMS/email failures, AI service quotas or security reasons. Planned maintenance or significant outages are announced through appropriate channels where possible.
15. Data Security and Personal Data
Pratix processes customer, business, user, payment, subscription and support data to provide services, establish/perform the contract, handle payments and invoices, ensure security and fulfill legal obligations. Details about personal data are set out in the KVKK Privacy Notice and Privacy Policy .
16. Intellectual Property and Right of Use
Pratix software, dashboard design, branding, source code, system architecture and related digital assets belong to Pratix or the relevant rights holders. Customers receive only the right to use the features in their chosen plan during the subscription term. This does not grant rights to copy, reverse-engineer, resell, sublicense or reproduce the software without permission.
17. Support and Notifications
Sales, subscription, payment, invoice, refund, technical support and usage requests may be sent to info@pratix.net or submitted through support/request areas if active in the dashboard. Pratix may inform customers by email, dashboard notification, SMS or other appropriate channels.
18. Effect and Acceptance
By registering, starting a trial, making a payment, renewing a subscription or beginning to use the service, the buyer declares that they have been informed about this agreement, the Pre-contract Information, Terms of Use, Privacy Policy, KVKK Privacy Notice and Cancellation and Refund Policy, and accepts the relevant terms.
19. Applications and Disputes
The parties first seek to resolve disputes through support channels. If no resolution is reached, applicable legislation of the Republic of Türkiye and the competent authorities apply. Buyers acting as consumers retain their rights before consumer arbitration committees and consumer courts under the relevant legislation.
